Evaluation Agreement

Pilot & Evaluation Terms

These terms govern a limited Ship2Invoice pilot or evaluation before standard commercial deployment.

Effective: September 27, 2026 Publisher: A Simple Solution, LLC Product: Ship2Invoice

1. Purpose

A Ship2Invoice pilot allows A Simple Solution and Customer to evaluate Ship2Invoice against Customer's actual QuickBooks Desktop shipping-to-invoice workflow before standard commercial deployment.

A pilot may identify product improvements or future development opportunities, but neither party is obligated to proceed with functionality outside the agreed scope.

2. Pilot Confirmation

Pilot-specific details may be documented in an Order, email, onboarding record, Pilot Confirmation or other written agreement.

Those details may include:

  • customer and primary contact;
  • QuickBooks company or companies included;
  • workstation or test environment;
  • workflow being evaluated;
  • start and target review dates;
  • pilot fees, if any;
  • specific exclusions or limitations; and
  • customer-specific evaluation objectives.

3. Pilot Fees

Any fee for a Ship2Invoice pilot or evaluation will be stated in the applicable Pilot Confirmation, Order, invoice or other written agreement.

No pilot fee is owed unless A Simple Solution and Customer expressly agree to one.

Customer remains responsible for its own QuickBooks, Windows, hardware, personnel and other third-party costs.

4. Pilot Scope

Unless otherwise agreed, pilot activity may include:

  • defined QuickBooks Desktop company files;
  • defined supported workstations;
  • workflow discovery;
  • Company Profile configuration;
  • Observe Only validation;
  • representative Sales Order review;
  • Invoice Preview or Validation Result review;
  • limited controlled Live testing;
  • reasonable pilot support; and
  • customer feedback.

5. Observe Only First

Unless A Simple Solution expressly approves another testing procedure, pilot implementation should begin in Observe Only or another non-writing validation state.

Normal Live Invoicing should not begin until representative behavior has been reviewed.

6. Controlled Live Testing

Live testing may create actual QuickBooks invoices and affect Customer's accounting records.

Before a controlled Live test, Customer is responsible for confirming the intended QuickBooks company, Sales Order, configuration, backup status and absence of conflicting manual invoice activity.

Customer should promptly review the resulting QuickBooks transaction.

7. Customer Responsibilities

  • maintain appropriate QuickBooks Desktop and Windows rights;
  • maintain reasonable QuickBooks backups;
  • provide accurate workflow and configuration information;
  • provide authorized personnel for integration setup;
  • identify representative transactions;
  • review Observe Only and initial Live results;
  • promptly report unexpected transactions; and
  • follow reasonable pilot and safety instructions.

8. A Simple Solution Responsibilities

A Simple Solution will use reasonable efforts to:

  • configure Ship2Invoice within the agreed scope;
  • use controlled validation before normal Live use;
  • assist with supported setup;
  • provide reasonable pilot troubleshooting;
  • investigate material Ship2Invoice issues; and
  • handle customer information according to the Privacy Policy.

9. Evaluation Nature

A pilot may involve limited-release, recently developed or pre-commercial functionality.

Features may change during or after the evaluation. Unsupported or unvalidated workflows may remain in Observe Only.

10. Feedback

Customer may provide suggestions, usability feedback and workflow observations.

Customer grants A Simple Solution the right to use general feedback to develop and improve Ship2Invoice.

A Simple Solution will not publicly identify Customer as the source of feedback without permission.

11. Product Improvements and Custom Development

General improvements to Ship2Invoice created by A Simple Solution remain the intellectual property of A Simple Solution unless a separate written agreement expressly provides otherwise.

Customer-specific development may be separately discussed, scoped and priced. A feature request or estimate does not obligate either party to proceed.

12. Customer Data

Customer retains its rights in its QuickBooks data, business records and Customer-provided materials.

Pilot-related information may be processed as reasonably necessary to configure, support, troubleshoot and evaluate the pilot as described in the Privacy Policy.

13. Confidentiality

Each party will use reasonable care to protect nonpublic business, technical and commercial information received from the other party and will use that information only for the relationship or another authorized purpose.

Confidential information does not include information that the receiving party can show was already lawfully known, becomes public without breach, is independently developed without use of the confidential information, or is lawfully received from another source without a confidentiality duty.

A party may disclose information when required by law or valid legal process, subject to any notice permitted by law.

14. No Service-Level Commitment

Unless expressly stated in writing, a pilot does not include guaranteed uptime, response times, resolution times, twenty-four-hour support or another service-level agreement.

15. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PILOT AND EVALUATION USE IS PROVIDED "AS IS" AND "AS AVAILABLE."

A SIMPLE SOLUTION DOES NOT WARRANT THAT A PILOT WORKFLOW WILL QUALIFY FOR PRODUCTION USE, THAT ALL FEATURES WILL BE RETAINED, OR THAT EVERY CUSTOMER-SPECIFIC WORKFLOW CONDITION WILL BE DETECTED.

THE WARRANTY DISCLAIMERS IN THE SHIP2INVOICE EULA ALSO APPLY.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM THE PILOT.

FOR AN AUTHORIZED PILOT OR EVALUATION FOR WHICH CUSTOMER PAID NO FEES, A SIMPLE SOLUTION'S AGGREGATE LIABILITY ARISING FROM THE PILOT WILL NOT EXCEED FIVE HUNDRED U.S. DOLLARS ($500).

IF CUSTOMER PAYS A PILOT FEE, A SIMPLE SOLUTION'S AGGREGATE LIABILITY ARISING FROM THE PILOT WILL NOT EXCEED THE GREATER OF THE PILOT FEES PAID BY CUSTOMER OR FIVE HUNDRED U.S. DOLLARS ($500).

These limitations do not apply where applicable law does not permit the liability to be excluded or limited.

17. Pilot Term and Exit

The pilot begins on the agreed date and continues until the agreed review or completion date unless ended earlier.

If no end date is stated, either party may end the pilot by giving notice to the other party.

Either party may end the pilot if it determines that the workflow is not an appropriate Ship2Invoice fit.

When the pilot ends, the pilot Live entitlement may be deactivated. Customer retains its own QuickBooks data and business records.

18. Conversion to Paid Service

A pilot does not automatically convert into a paid subscription.

If commercial use continues, the parties will confirm the applicable plan, licensed-company count, billing start date, pricing and any implementation services.

19. Relationship to the EULA

The Ship2Invoice End User License & Subscription Agreement governs use of the Ship2Invoice software during the pilot.

These Pilot Terms control pilot-specific subjects such as scope, pilot pricing and pilot exit.

A written customer-specific Pilot Confirmation controls only for subjects it expressly modifies.

20. Governing Law and Venue

These Pilot Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles.

Court proceedings arising from the pilot will be brought in a state court located in Indian River County, Florida, or a federal court having jurisdiction over that county.

21. Electronic Acceptance

These Pilot Terms and related Pilot Confirmations may be accepted electronically.

Email confirmation, electronic acceptance, an accepted Order or another electronic record may be retained as evidence of the agreed pilot terms.
